We will not be liable to you in respect of any losses arising out of any event or events beyond our reasonable control. We will not be liable to you in respect of any business losses, including (without limitation) loss of or damage to profits, income, revenue, use, production, anticipated savings, business, contracts, commercial opportunities or goodwill. We will not be liable to you in respect of any loss or corruption of any data, database or software. We will not be liable to you in respect of any special, indirect or consequential loss or damage.

You hereby indemnify us and undertake to keep us indemnified against any losses, damages, costs, liabilities and expenses (including, without limitation, legal expenses and any amounts paid by us to a third party in settlement of a claim or dispute on the advice of our legal advisers) incurred or suffered by us arising out of any breach by you of any provision of these terms of use, or arising out of any claim that you have breached any provision of these terms of use.

 

(9) Breaches of these terms of use

Without prejudice to our other rights under these terms of use, if you breach these terms of use in any way, we may take such action as we deem appropriate to deal with the breach, including suspending your access to the website, prohibiting you from accessing the website, blocking computers using your IP address from accessing the website, contacting your internet service provider to request that they block your access to the website and/or bringing court proceedings against you.

We may revise these terms of use from time to time. Revised terms of use will apply to the use of our website from the date of publication of the revised terms of use on our website.

We may transfer, sub-contract or otherwise deal with our rights and/or obligations under these terms of use without notifying you or obtaining your consent. You may not transfer, sub-contract or otherwise deal with your rights and/or obligations under these terms of use.

If a provision of these terms of use is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect. If any unlawful and/or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

 

(13) Exclusion of third party rights

These terms of use are for the benefit of you and us, and are not intended to benefit any third party or be enforceable by any third party. The exercise of our and your rights in relation to these terms of use is not subject to the consent of any third party.

 

(14) Entire agreement

Subject to the first paragraph of Section 7, these terms of use, together with our privacy policy, constitute the entire agreement between you and us in relation to your use of our website and supersede all previous agreements in respect of your use of our website.

 

(15) Law and jurisdiction

These terms of use will be governed by and construed in accordance with English law, and any disputes relating to these terms of use will be subject to the exclusive jurisdiction of the courts of England and Wales.

 

(16) Ishka Ltd In Person Events

a. By registering for and/or attending the Event the participants agree to be bound by, and comply with, these Terms and Conditions.

b. For the purposes of these Terms and Conditions, the “Event” means any in-person conference, the details of which are confirmed as advertised and updated from time-to-time.

c. All bookings are considered binding on receipt of the signed contract and/or booking form. For stand-alone delegate bookings, an admin charge of 10% will be deducted from any cancellation request received more than 30 days prior to the event.

No refunds shall be given for any cancellations received less than 30 days prior to the event, in this instance, a delegate may transfer their registration to a colleague within the same company. This is solely at the discretion of Ishka, full details of the replacement must be provided at least three days prior to the event taking place. Ishka will confirm whether the replacement delegate request has been accepted. Replacement delegates will not be admitted to any event unless confirmed by Ishka in advance.

Where the event is cancelled by Ishka as a result of Health and Safety requirements and any specific restrictions required by the venue and under law, all delegate registrations shall be brought forward to the rearranged event located in the same city location.

d. Ishka Ltd. reserves the right to reject a ticket sale, in this instance, a full ticket refund will be processed.

e. When registering for the event, you are required to provide certain information such as first name, last name, job title, telephone, work email address, company name, country of incorporation, business sector, business address, VAT number of the Customer, billing telephone number. The registrant confirms that all information provided is accurate, current, and complete, any changes must be confirmed to Ishka Ltd.in writing to team@ishkaglobal.com

f. PBy registering for the event, you agree to appear on the event delegate list. If you wish to be removed from these lists, please email team@ishkaglobal.com

g. Photographs and filming/recording may take place at the event, by a designated photographer/videographer/via the virtual platform, which may be used for future marketing materials. The registrant consents to the use of such photographs as described. Should the participant not wish for their image to be used, please email team@ishkaglobal.com at least 48 hours prior to the event.

i. Code of Conduct

All attendees, including speakers, sponsors and volunteers attending Ishka events agree to comply with the Ishka Code of Conduct. We request cooperation from all participants to help ensure a safe environment for all those in attendance.

Ishka is committed to providing a harassment-free event experience for everyone. Harassment includes but is not limited to; offensive verbal comments related to gender, gender identity and expression, age, sexual orientation, disability, physical appearance, body size, race, ethnicity, religion, technology choices, sexual images in public spaces, deliberate intimidation, stalking, following, harassing photography, or recording, sustained disruption of talks or other events, inappropriate physical contact, and unwelcome sexual attention.

If a participant engages in harassing behaviour, Ishka may take any action they deem appropriate, including warning the offender, or expulsion from the conference without a refund.

If you are being harassed, or notice that an attendee is being harassed, or have any other concerns, please contact team@ishkaglobal.com

Ishka employees, once notified, shall assist any participant in contacting on-site security or local police.

Ishka expects all participants to follow this code at all events, workshops, and all event-related social events, whether on or offline.

A material breach of the code may result in eviction from events or virtual spaces without a refund. Serious breaches will result in a lifetime ban and does not preclude legal action from being taken.

 

(17) Ishka Ltd Virtual Events

a. By registering for and/or attending the Event the participants agree to be bound by, and comply with, these Terms and Conditions.

b. For the purposes of these Terms and Conditions, the “Event” means any forum, plenary session, summit, networking session, discussion session, virtual event, presentation, webinar, the details of which are confirmed as advertised and updated from time-to-time.

c. Your registration allows one individual access to the live event and on-going access to all on-demand sessions after the live event for up to one month post event.

d. Online/virtual events are non-refundable. In the case where the event is cancelled by Ishka, a 100% refund will apply, and reimbursement sent to the original payment method. For individual registrations, should you not be able to attend the event, you may transfer access to a friend or colleague. Ishka Ltd. must be notified of this change in writing to team@ishkaglobal.com at least three days prior to the live date. Ishka Ltd. reserves the right to deny the substitution request but will not unreasonably do so. In this case, Ishka Ltd. may, at its absolute discretion allow the registrant to transfer their place to the next virtual event.

e. Ishka Ltd. reserves the right to reject a ticket sale, in this instance, a full ticket refund will be processed.

f. Places may not be shared. Sharing login details amongst colleagues will result in a breach of the conditions of sale below and the user will be barred from this and any future event.

g. When registering for the event, you are required to provide certain information such as first name, last name, job title, telephone, work email address, company name, country of incorporation, business sector, business address, VAT number of the Customer, billing telephone number, and username and password (Log-in Information). The registrant confirms that all information provided is accurate, current, and complete, any changes must be confirmed to Ishka Ltd.in writing to team@ishkaglobal.com

h. By registering for the event, you agree to be contactable via the event messenger system to allow for business networking purposes and to appear on the event delegate list. If you wish to be removed from these lists, please email team@ishkaglobal.com

i. Photographs and filming/recording may take place at the event, by a designated photographer/videographer/via the virtual platform, which may be used for future marketing materials. The registrant consents to the use of such photographs as described. (18) Conditions of sale for Live Streaming

a. Owing to the nature of live streaming an event, Ishka Ltd. will not be held responsible for any technical issues, such as, access, IT, internet or WIFI issues the ticket holders may experience before, during or after the live broadcast.

b. The ticket holder has, to the best of their ability, ensured that they are able to access the live broadcast.

c. An individual ticket is for one event attendee.

d. By purchasing an individual ticket, you agree not to share your access code or have others watching the live broadcast.

e. The access code will allow an attendee to log on to the live event from two devices. An individual ticket also provides individual access to the recorded sessions of the event and our on-demand content whilst the event site remains live post event for up to 1 month.

f. Sponsor tickets allows an unlimited number of licences across your whole organisation.

g. Ishka Ltd. will not be providing technical support relating to any access, IT, internet or WIFI issues during or after the live broadcast.

(20)  Payment Terms

The Ishka payment terms are clearly stated on the invoice and in all instances must be paid in the currency stated. You are liable for all and any bank charges and must ensure the amount stated on the invoice is received in full and in the requested currency.

Late payment of invoices will result in your subscription/services being suspended and will only be reinstated once the in invoice has been settled in full.  In the event of non-payment, the outstanding amount shall be forwarded to our debt recovery agent with all additional costs incurred added to the outstanding amount. At the company’s sole discretion, any further requests for Ishka products and/or services will only be granted on the receipt of cleared prior funds.

All delegate invoices must be paid in full by the due date, if payment is not received in advance of the Ishka event, the delegate shall be refused entry or be required to settle the outstanding amount at the registration desk.
